Warner Bros. Discovery Board Rejects Revised Offer from Paramount Skydance

The board of directors at Warner Bros. Discovery has reaffirmed its decision to reject the revised takeover bid from Paramount Skydance. In an official statement, the board emphasized that this offer does not align with the best interests of the company or its shareholders, failing to qualify as a superior proposal under the terms of its merger agreement with Netflix. Following Netflix's announcement to acquire Warner Bros. for $82.7 billion, Paramount Skydance initiated a hostile takeover attempt, which was swiftly rejected. The latest rejection comes as an amendment to this bid. According to Samuel A. Di Piazza, Jr., chair of the Warner Bros. Discovery board, "The latest offer from Paramount remains less favorable than our merger agreement with Netflix in several key areas." He further stated, "Our binding agreement with Netflix provides greater value with higher levels of certainty, without exposing our shareholders to the significant risks and costs associated with Paramount's offer." The board has communicated its recommendation to shareholders, highlighting the offer's lack of value and increased risk of deal failure compared to the Netflix agreement.
