Electronic Arts Acquisition to be Finalized on August 4 After Receiving Regulatory Approval

Following approval from all necessary regulatory bodies, the $55 billion acquisition of Electronic Arts is slated for completion on August 4. In a recent SEC filing, EA noted that the merger's completion is contingent upon meeting the remaining customary closing conditions outlined in the merger agreement. The European Union Commission has also given its clearance for the merger, stating that the transaction does not pose competition concerns due to its limited impact on the relevant markets. In its amended annual report filed on July 28, EA highlighted its achievements, including an 81.5% surge in net income to $461 million and a 12% increase in net revenue to $2.1 billion. The company attributed its success to the performance of Battlefield 6, which received positive reviews and achieved a high-quality launch. Despite this success, the company laid off an unspecified number of employees from four studios involved in the game's development in March. EA stated that these changes were made to align its teams with community priorities and that the Battlefield franchise remains a key investment area. The acquisition plan was first announced in September by a consortium of investors, including Saudi Arabia's Public Investment Fund, Silver Lake Capital, and Affinity Partners. EA shareholders supported the acquisition in December, and upon completion, the PIF is expected to own over 93.4% of EA. Previously, US lawmakers had requested that the Federal Trade Commission conduct a thorough review of the deal, citing concerns about its potential impact on workers.
