Mighty Kingdom Successfully Defends Against Former CEO's Hostile Takeover Bid

In a significant development, Mighty Kingdom's shareholders have rejected a proposal by the studio's former CEO, Shane Yeend, to overthrow the current board of directors. The decision, made at an Extraordinary General Meeting, demonstrates the shareholders' confidence in the company's existing leadership and strategic direction. According to the studio, fewer than 10% of shareholders voted in favor of Yeend's resolutions, which aimed to replace the board. Notably, less than 34% of the total issued shares were voted in favor of Yeend's proposals, with half of these votes coming from Yeend himself and his affiliated companies. Yeend, who is also the founder and CEO of Gamestar Interactive, a major shareholder of Mighty Kingdom, had previously served as the studio's CEO for five months. His relationship with the existing board had become publicly strained after his departure, ultimately leading to his formal proposal to replace the board with a new management team that would have included himself. Prior to the vote, Mighty Kingdom had circulated a letter signed by over half of the company's employees, stating that they would not feel comfortable continuing to work at the studio if Yeend's proposals were accepted. Following the vote, current Mighty Kingdom chair David Butorac expressed his views, stating, 'I don't view this as a victory, but rather as a strong endorsement of the board, the company's strategy, and our exceptional staff and management team. Our focus will be on leveraging our expertise to drive operational excellence, attract strategic investments, and achieve sustainable growth. I look forward to all shareholders now supporting the direction and strategy that this majority vote represents.' Butorac also emphasized the need to put an end to distractions and focus on restoring shareholder value, stating, 'In our conversations with shareholders over the past month, the consistent theme has been the need to stop these distractions and concentrate on rebuilding Mighty Kingdom and securing strategic investments.'
