Unity Declines AppLovin's Merger Proposal

Unity has announced its decision to reject AppLovin's unexpected merger proposal, choosing to move forward with its previously announced acquisition of IronSource. The board of directors made this unanimous decision, stating that AppLovin's offer does not align with the best interests of Unity's shareholders. According to Unity, AppLovin's proposal failed to meet the necessary criteria to be considered a superior proposal, which would have allowed them to exit the IronSource deal. As a result, the board remains committed to the IronSource transaction, believing it will create a unique platform for developers to create, publish, and monetize live games and 3D content. This decision comes after Unity initially announced its plans to acquire IronSource in an all-stock deal, which would have given Unity shareholders approximately 74% of the combined company's shares. AppLovin's proposal, which was made public last week, included an all-stock deal that would have given AppLovin shareholders 51% of the voting rights in the new company, but was contingent on Unity canceling its agreement with IronSource.
